Supplier Agreement

THIS AGREEMENT ("Supplier Agreement") is made between eDhumashi (hereinafter "Platform"), with (registration number: 13572023SP) and the Suppliers registered on eDhumashi as Suppliers (hereinafter "Supplier").

1. Terms of the Agreement:

1. eDhumashi will provide an online marketplace for Suppliers to list/advertise products.
2. eDhumashi will facilitate orders and provide buyer information to the Supplier.
3. Suppliers are responsible for the direct fulfillment of orders placed by buyers.
4. Buyers are responsible for arranging and completing payment transactions through the designated payment gateway service.
5. eDhumashi will collect all customer payments through the Bank of Maldives payment gateway, serving as the Supplier's payment processing agent. These funds will be remitted to the Supplier, either directly or via an appointed payment agent, as per these Terms, withing 24 hours of order confirmation. Any payment processing fees charged by the bank may be added to the order.
6. If the Supplier is registered for GST tax or any other tax, the Supplier must update that information on the platform.
7. The Supplier is solely liable for paying any taxes that are required after any transaction.
8. The Supplier is responsible for arranging delivery of all accepted and paid orders within 2 working days of order acceptance. If the supplier is located outside greater Male' area, the supplier must arrange delivery to Male' within 2 working days of order acceptance.
9. In the event the supplier fails to deliver the product within the specified timeframe, eDhumashi will contact the customer and if the customer wishes to cancel the order, the supplier will be notified and the order will be cancelled. And supplier will be required to return the funds to eDhumashi within 24 hours of cancellation.
10. If a supplier fails to deliver products for 3 orders, eDhumashi reserves the right to remove the supplier from the platform.
11. Supplier is responsible for the accuracy of the ingredients and product listings in compliance with applicable regulations.
12. The Supplier is responsible for the quality of products. Suppliers must properly label products with all the ingredients used and expiration/best-by dates. For all products, the supplier is responsible for delivering products fit for human consumption.
13. If any of the supplied goods does not meet the features listed by the Supplier, the supplier will be held accountable.
14. The Supplier must label the packaging with the best before date, best served before date and how to store the items for maximum longevity and display the information on the platform listing.
15. The Supplier must ensure that the items will not perish in the delivery time it takes to reach the buyer.
16. In case of a dispute, eDhumashi may investigate the case. If the Supplier delivers faulty, expired or rotten products, the Supplier must refund or replace products for the buyer. If the supplier fails to do so, eDhumashi has the right to remove the Supplier from the platform.
17. The Supplier must abide by the following rules when packaging the products.
    1. Weight (excluding the packaging weight)
    2. Produced date, best before use date, expiry date.
    3. Producer label
    4. Name of the product
    5. Best practices for storing for as long as possible

1. Indemnification:

1. Supplier shall indemnify and hold harmless eDhumashi from any claims, damages, or liability arising from the Supplier's failure to provide accurate labeling, fresh seafood products, or comply with applicable regulations.
2. Both parties, i.e. the Supplier and the Buyer, shall indemnify and hold harmless eDhumashi from liabilities arising from communication between the two parties.
